TERMS OF SERVICE
1.0 PURPOSE AND SCOPE OF AGREEMENT
1.1 Identity of the Service Provider: These Terms of Service (hereinafter referred to as "Terms") govern the contractual relationship, service provision, and rights between BLVZ Media (hereinafter "BLVZ Media", "we", "us", or "our") and the client (hereinafter "Client", "you", or "your"). Nothing in these Terms limits any mandatory rights or protections applicable to a Client under Serbian law or, where applicable, mandatory EU consumer-protection law.
1.2 Scope of Services: These Terms apply to all custom web development, UI/UX design, client portal integration, web hosting configurations, and digital consulting services provided by BLVZ Media.
1.3 Agreement Binding: By commissioning a project, accepting a project proposal, submitting an advance payment, or creating an account on the BLVZ Media Client Portal, the Client agrees to be bound by these Terms to the extent permitted by applicable law. Where these Terms are presented as standard terms to a consumer, the Client shall be given a reasonable opportunity to review them before being bound.
2.0 PROJECT COMMENCEMENT & PREREQUISITES
Project work and scheduling allocations officially begin only when all of the following conditions are fully satisfied:
Clear Project Scope Agreement: Finalization and mutual approval of project specifications, package selection (Essential, Growth, or Enterprise), and deliverables.
Financial Authorization: Successful receipt of the required advance deposit or full initial project payment as outlined in the invoice.
Client Material Delivery: Submission of all mandatory project assets, branding guidelines, content copy, database requirements, and media files via the Client Portal Asset Locker.
3.0 CLIENT RESPONSIBILITIES
To ensure seamless project delivery and maintain project timelines, the Client is explicitly obligated to comply with the following responsibilities:
3.1 Timely Material Submission: The Client must submit all required content, copy, text, images, logos, and high-resolution assets promptly according to the agreed project schedule.
3.2 Intellectual Property & Licensing Representation: The Client warrants and guarantees that they hold all necessary ownership rights, copyrights, trademarks, and legal licenses for all text, images, graphics, and logos supplied to BLVZ Media for publication.
3.3 Milestone Review and Approval: The Client is obligated to review, provide feedback on, and formally approve each project phase or milestone within 5 business days of submission by BLVZ Media.
3.4 Portal Credential Security: The Client is responsible for taking reasonable measures to maintain the confidentiality and security of their BLVZ Media Client Portal login credentials and authentication access tokens. The Client shall promptly notify BLVZ Media of any known or suspected unauthorized access.
3.5 Automatic Timeline Extension for Delays: If the Client delays the delivery of required content, assets, or milestone feedback (e.g., a delay of 20 calendar days in submitting text copy), all project deadlines, launch schedules, and delivery dates shall automatically extend by an equivalent duration plus standard operational scheduling buffers.
3.6 Revision Policy: Each project includes the specific number of design and development revisions outlined in the selected package (Essential, Growth, or Enterprise). Any additional revision requests or out-of-scope modifications exceeding the included allocation will require additional billing and a separate scope addendum.
3.7 Project Inactivity & Abandonment: If the Client becomes inactive or non-responsive for more than 30 consecutive calendar days without prior written notice, BLVZ Media reserves the right to archive the project. Re-activating and rescheduling an archived project may incur administrative and re-boarding fees.
4.0 PAYMENT TERMS & ACCEPTANCE OF DELIVERABLES
4.1 Payment Structure & Invoicing: All payments must be made according to the agreed pricing package (Essential, Growth, Enterprise) or milestone structure specified in the project invoice.
4.2 Payment Due Date: Unless otherwise specified in writing, all issued invoices have a strict maturity period of 7 calendar days from the invoice issuance date.
4.3 Overdue Payments & Right to Pause Work: If an invoice remains unpaid past its due date, BLVZ Media may pause ongoing work, withhold deployment, or suspend non-essential services after giving the Client reasonable written notice and an opportunity to remedy the non-payment, except where immediate suspension is reasonably necessary to protect BLVZ Media, its systems, or third parties. Any suspension shall be proportionate and subject to mandatory rights under applicable law.
4.4 Refunds and Cancellation: Unless otherwise agreed in writing, fees for work already performed and approved third-party costs actually incurred may be retained or charged. Any remaining amounts shall be handled in accordance with the applicable agreement and mandatory provisions of Serbian law and, where applicable, EU consumer-protection law. Nothing in these Terms excludes or restricts a statutory right to a refund, withdrawal, cancellation, or other remedy where such right cannot lawfully be excluded.
4.5 Formal Acceptance of Deliverables: Upon delivery of completed website files, staging deployments, or feature releases, the Client has an inspection window of 7 business days to report substantial issues or technical bugs. If no such issues are reported within that period, the deliverables may be deemed accepted for project-management purposes, without limiting any mandatory statutory rights, warranty rights, or remedies that cannot lawfully be excluded.
5.0 INTELLECTUAL PROPERTY & OPEN-SOURCE COMPONENTS
5.1 Reservation of Ownership: To the extent permitted by applicable law and the relevant intellectual-property regime, all source code, UI/UX designs, custom graphics, component structures, and project assets remain the property of BLVZ Media until the agreed invoice has been paid in full. Third-party and open-source rights remain subject to their applicable licenses.
5.2 Transfer of Deliverables: Upon full and final payment, the rights in the final deliverables shall transfer to the Client to the extent legally transferable and as specified in the project agreement. Rights in third-party materials, open-source components, pre-existing BLVZ Media materials, and tools that are not legally transferable remain subject to their applicable licenses or the relevant written agreement.
5.3 Open-Source Components & Libraries: Certain web projects developed by BLVZ Media may integrate open-source libraries, frameworks, or third-party code packages distributed under their respective licenses (e.g., MIT, Apache). Copyright and intellectual property ownership of those underlying libraries remain exclusively with their original authors and copyright holders.
5.4 Portfolio Showcase Rights: BLVZ Media may display completed, publicly released web projects, visual design mockups, and Client logo references in its agency portfolio and website showcase, unless the Client has requested confidentiality in writing or a written Non-Disclosure Agreement (NDA) provides otherwise. BLVZ Media shall not publicly disclose confidential or non-public information.
6.0 CONFIDENTIALITY
Both BLVZ Media and the Client agree to hold in strict confidence all proprietary business information, credentials, project source files, financial data, and unpublished project materials disclosed during the engagement, and shall not disclose such information to any third party unless authorized in writing or required by applicable law. This obligation does not apply to information that is already public, lawfully received from a third party without a confidentiality obligation, or independently developed without use of confidential information. Confidentiality obligations survive termination of the project for as long as the information remains confidential, subject to applicable law.
7.0 MAINTENANCE, TECHNICAL SUPPORT & HOSTING
7.1 Support Scope: Technical support, bug fixes, feature edits, performance optimization, and server configurations are provided strictly according to the specific package purchased (Essential, Growth, or Enterprise).
7.2 Maintenance Agreements: Ongoing website updates, database monitoring, security audits, and functional extensions requested after project delivery require a separate Service Level Agreement (SLA) or monthly retainer.
7.3 Third-Party Infrastructure: BLVZ Media is not responsible for service interruptions, outages, or policy changes caused solely by third-party infrastructure platforms (e.g., Netlify, Firebase Authentication, Cloud Firestore, Namecheap), except to the extent that applicable law imposes responsibility on BLVZ Media or the interruption results from BLVZ Media’s own failure to exercise reasonable care.
8.0 LIMITATION OF LIABILITY
8.1 Exclusion of Indirect Damages: To the maximum extent permitted by applicable law, BLVZ Media shall not be liable for indirect, incidental, consequential, special, or lost-profit damages arising out of or in connection with the use of, or inability to use, our services, custom code, or web platform. This limitation does not exclude or restrict liability that cannot lawfully be excluded or limited.
8.2 Maximum Aggregate Liability: To the maximum extent permitted by applicable law, our maximum aggregate financial liability for claims directly arising from a specific project shall not exceed the total amount actually paid by the Client to BLVZ Media for that project. This limitation does not apply to liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence or other mandatory statutory liability.
9.0 FORCE MAJEURE
9.1 Exemption of Liability for Uncontrollable Events: Neither party shall be liable for delays, failure, or performance interruptions caused by events beyond reasonable control, including but not limited to acts of God, natural disasters, fires, floods, wars, civil unrest, global infrastructure failures, national telecommunication outages, or major third-party cloud outages. In such events, affected performance obligations shall be suspended for the duration of the condition.
10.0 GOVERNING LAW & DISPUTE RESOLUTION
These Terms of Service shall be governed by the laws of the Republic of Serbia, without prejudice to any mandatory consumer-protection or other mandatory provisions that apply to the Client. Any disputes shall be submitted to the competent courts of the Republic of Serbia, except where applicable mandatory law grants a consumer the right to bring proceedings before the courts of another jurisdiction or otherwise restricts an exclusive jurisdiction clause.
